1. Definitions
- “Client” refers to any individual or business purchasing or using Visuals Impact services.
- “Service” refers to digital signage placement, advertising display, content scheduling, CMS access, or any related offering.
- “Content” refers to any media provided by the client, including images, videos, designs, promotions, and announcements.
- “CMS” refers to NoviSign or any white-label software used to manage digital signage content.
2. Use of Services
You agree to use our services only for lawful purposes.
You must not upload, display, or transmit content that:
- violates Canadian, provincial, or local laws,
- is defamatory, hateful, discriminatory, or inappropriate,
- infringes on intellectual property rights,
- contains malware or harmful code.
We reserve the right to remove content that violates these rules.
3. Advertising Content Requirements
Clients are responsible for:
- ensuring they have rights to all content they upload,
- verifying accuracy of advertised information,
- respecting size, format, and quality guidelines,
- complying with applicable advertising laws and regulations.
Visuals Impact is not responsible for errors in client-provided content.
4. Scheduling & Display
We strive to maintain uninterrupted service, but display schedules may be impacted by:
- power outages,
- network issues,
- hardware malfunctions,
- third-party provider downtime.
We are not liable for any temporary interruptions, delays, or errors caused by factors beyond our control.
5. Payments & Billing
All services, advertising slots, subscriptions, CMS licenses, and installations must be paid according to the agreed pricing.
- Payments are non-refundable unless stated otherwise.
- Late or missing payments may result in suspension of service.
- Multi-month, trial, or promotional offers must be honored by both parties.
6. Term & Termination
Either party may terminate service with written notice unless bound by a contract specifying a fixed term (e.g., 6-month, 12-month, 24-month agreements).
Visuals Impact may suspend or terminate services immediately if:
- illegal or inappropriate content is submitted,
- fraudulent activity is detected,
- payment obligations are not met.
7. CMS Accounts & Access
If we provide you access to our content management system:
- You are responsible for keeping your login credentials confidential.
- Unauthorized access or sharing of accounts is prohibited.
- We may revoke access if misuse is detected.
8. Intellectual Property
All software, branding, trademarks, designs, and platform features belong to Visuals Impact or our partners (e.g., NoviSign).
Clients retain ownership of the content they provide, but grant Visuals Impact a license to display it across our screens for the duration of the agreement.
9. Installation & Hardware
For clients using our hardware installation service:
- Installations must be approved by the business or property owner.
- Clients are responsible for electrical and network connectivity.
- Visuals Impact is not liable for structural issues at the installation site.
Certain installations may require third-party partners or certified technicians.
10. Limitation of Liability
To the fullest extent permitted by law, Visuals Impact is not liable for:
- business losses,
- loss of revenue or profit,
- indirect, incidental, or consequential damages,
- technical issues originating from third-party software or hardware.
Our maximum liability is limited to the amount paid by the client in the last 30 days.

We do not sell or share client data with external parties except for service partners involved in providing the CMS or installations.
12. Updates to Terms
We may update these Terms at any time. Changes will be published on this page, and continued use of our services indicates acceptance.
